HKV advised JOJ Media House on merger of its OOH activities in Slovakia with JCDecaux

Bratislava, 9 January 2024 – HKV has provided legal advice to Akzent Bigboard, the outdoor advertising subsidiary of JOJ Media House Group, the leading Media Group in Slovakia on merger of its OOH activities in Slovakia with JCDecaux SE the number one outdoor advertising company worldwide.

JCDecaux SE (Euronext Paris: DEC), the leading global outdoor advertising company, initiated its OOH operations in Slovakia in 1990. On 14 December 2023, it formalized an agreement for the merger of its Slovakian operations with Akzent Bigboard, the outdoor advertising subsidiary of JOJ Media House Group, the foremost Media Group in Slovakia supported by HKV Law Firm. The completion of the transaction is subject to standard regulatory conditions. Per the terms of this agreement, the newly established joint venture will be 60% owned by ATSBG Holding GmbH, a JCDecaux subsidiary, and 40% owned by JOJ Media House.

This merger is poised to serve as a significant catalyst for the growth of outdoor advertising in Slovakia, which currently holds a market share of around 5.5% in the total advertising market. Although this figure is below the global average market share, it has been consistently increasing. The combined expertise of JCDecaux and Akzent Bigboard is expected to unlock new opportunities for advertisers, particularly in the realm of digital outdoor advertising, within the context of a highly fragmented advertising market.
